Terms of Service
These Terms govern your purchase and use of digital products sold through SatchelLM at satchellm.web.app. By purchasing or downloading, you agree to these Terms and to our Acceptable Use Policy.
1. What we sell
SatchelLM sells digital software products: self-hostable, open-weight AI language-model files and accompanying deployment tooling (configuration, serving scripts, and documentation). Products are delivered as one-time downloads. We sell no physical goods and offer no subscriptions.
Our models are derivative builds of permissively licensed base models (GLM-5.2, MIT license, © Zhipu AI), with original license and attribution retained and distributed alongside our packaging.
2. License granted to you
On purchase, you receive a non-exclusive, worldwide license to use the downloaded model files and tooling for lawful commercial, research, and internal-development purposes, on infrastructure you own or control, subject to these Terms, the Acceptable Use Policy, and the underlying open-source license (MIT) shipped with the files.
You may not resell, re-host, publicly redistribute, or sublicense the model files as a standalone product. Your license is for use, not redistribution.
3. Delivery
Delivery is 100% digital. At checkout you provide the account username (e.g., your Hugging Face username) to which access should be granted. We grant your account access to the gated download repository — typically within 24 hours — and email your download details. Downloads are served from repositories we control.
4. Pricing & payment
Prices are shown in U.S. dollars and charged as one-time payments. Payments are processed by Stripe; by purchasing you also agree to Stripe's terms. You are responsible for any applicable taxes.
5. Refunds
Because our products are digital files delivered by granting download access, all sales are final once access has been granted. If you have not yet received access and wish to cancel, or if you believe you were charged in error, contact sales@satchellm.com within 14 days and we will review your request in good faith. We may, at our discretion, decline refunds where files have already been downloaded.
6. Acceptable use
Your use of our products is governed by our Acceptable Use Policy, which is incorporated into these Terms. Products are intended for authorized AI security research, red-teaming, robustness and safety evaluation, and lawful software development. You are solely responsible for ensuring your use is lawful and authorized.
7. Export & sanctions compliance
You represent that you are not located in, or a national of, any country or party subject to U.S. sanctions or export restrictions (including OFAC-listed persons), and that you will not export or re-export the products in violation of applicable law. We may decline or revoke access to comply with these obligations.
8. Disclaimer of warranties
Products are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI models can produce inaccurate, offensive, or unexpected outputs; you are responsible for evaluating suitability for your use.
9. Limitation of liability
To the maximum extent permitted by law, Blackfrost Softwares Corp will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss arising from your use of the products. Our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim.
10. Termination
We may suspend or revoke access for violation of these Terms or the Acceptable Use Policy, without refund.
11. Governing law
These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Nevada.
